What does a transfer agent do when a fund is tokenized?

The same job: keeping the register of holders and processing changes to it. With ERC-3643, only investors registered in the token’s identity registry can hold units, eligibility is checked before each transfer, and the agent can recover lost holdings, freeze units and carry out court-ordered transfers directly on the token.

Key facts

  • The token’s owner, usually the issuer, appoints the transfer agent as an agent.
  • Investors are registered once in the identity registry.
  • Subscriptions and redemptions can be processed in batches.

Does the legal role change?

No. Licences, obligations and liability stay where they are. The standard gives the agent tools; it doesn’t change who is responsible.

What gets easier?

Keeping the on-chain list and the register aligned, catching ineligible transfers before they settle, and handling lost keys and corrections without asking every party to sign.
